This Agreement (“Agreement”) is entered into between DivineEpic Music (“Distributor”) and the individual or entity submitting a music release (the “Licensor”).

By uploading and submitting any release (song or album) through DivineEpic Music’s platform, the Licensor acknowledges and agrees to the following legally binding terms. This Agreement applies individually to each submitted release (“Release”).

1. Grant of License

For every submitted Release, the Licensor grants DivineEpic Music an exclusive, worldwide, transferable license to:

• Distribute, monetize, and promote the Release on all digital platforms (e.g., Spotify, Apple Music, YouTube, Amazon Music, JioSaavn, and others).

• Upload and publicly exploit the Release (including audio, artwork, and metadata) on DivineEpic Music’s official and partner YouTube channels and social media platforms, with full rights to monetize.

• Use the Release for promotional, marketing, advertising, and other commercial purposes.

This license is valid for each Release until a takedown request is submitted and processed by DivineEpic Music.

2. Exclusivity

Once a Release is submitted:

• The Licensor may not authorize any other distributor, label, or platform to distribute the same Release.

• Duplicate, parallel, or multi-distributor submissions of the Release are strictly prohibited.

Violation of this clause may result in immediate takedown of the Release and suspension of the Licensor’s account.

3. Takedown Policy

The Licensor may not request takedown of a Release until three (3) months have passed from its submission date.

After three months, the Licensor may submit a formal written takedown request.

Once DivineEpic Music receives a valid takedown request, the Release will be processed for removal within 30 days (subject to platform timelines).

DivineEpic Music reserves the right to remove a Release at any time, without notice, if it violates this Agreement, applicable law, or third-party rights.

4. Ownership & Warranty

For each submitted Release, the Licensor represents and warrants that:

• They are the sole owner or authorized rights-holder of the Release, including the audio, lyrics, composition, artwork, and metadata.

• No third-party rights are infringed by granting this license.

• They have full authority to grant DivineEpic Music the rights described herein.

5. Copyright Violation Policy

Submitting unauthorized content is strictly prohibited. This includes:

• Cover songs, remixes, karaoke, or reused music without valid written licenses.

• Any content not fully owned or legally authorized by the Licensor.

If a violation is discovered for a Release:

• DivineEpic Music may remove the Release and any associated content.

• The Licensor’s account may be suspended or terminated.

• No royalties will be paid for the Release.

• Legal action may be taken in case of severe infringement.

6. Royalties, Reporting & Payments

Revenues generated from platforms for each Release will be reported and distributed as per DivineEpic Music’s schedule.

Platform reports are typically delayed and usually available four (4) to five (5) months after the Release is published.

DivineEpic Music will provide the Licensor with a royalty statement and process payment within thirty (30) days of receiving official reports and cleared funds from the platforms.

Payments may be made via bank transfer, electronic wallets, or other modern payment methods, at DivineEpic Music’s discretion.

The Licensor is solely responsible for providing accurate and valid payment details. DivineEpic Music is not liable for failed or delayed payments caused by incorrect, incomplete, or outdated payment information supplied by the Licensor.

DivineEpic Music shall not be responsible for payment delays resulting from platform reporting delays, technical issues, or circumstances beyond its control.

Royalties are payable only for valid, approved, and monetized Releases.

No royalties will be paid for Releases taken down due to violations of this Agreement.

Additional Clause:

• It may take 10 to 15 days for a Release to reach all platforms after submission.

• If the Licensor rejects metadata corrections requested by DivineEpic Music, additional delays may occur.

• During festival holidays or company closures, distribution timelines may be further extended.

7. Commission & Earnings

DivineEpic Music will retain a 30% commission on total revenue generated from each Release.

The Licensor will receive 70% of the net revenue, after deduction of platform or processing fees.

Payments will be made only after DivineEpic Music has received reports and cleared funds from platforms.

8. Indemnification

The Licensor agrees to indemnify, defend, and hold harmless DivineEpic Music, its affiliates, and partners against any claims, damages, liabilities, costs, or expenses (including legal fees) arising from the Release, including but not limited to:

• Copyright infringement claims

• Ownership disputes

• Unauthorized samples, beats, or compositions

• False copyright strikes on YouTube or other platforms

This ensures DivineEpic Music has full protection and authority to dispute copyright strikes or claims.

9. Limitation of Liability

DivineEpic Music shall not be liable for any indirect, incidental, or consequential damages resulting from the distribution of a Release. Our total liability, if any, shall not exceed the royalties earned and payable to the Licensor for that Release.

10. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of India.

Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts in Kanthi, West Bengal, India.

11. License Confirmation

By submitting a Release, the Licensor acknowledges and agrees that:

• They are granting DivineEpic Music an exclusive, enforceable license for that Release.

• DivineEpic Music has the full right to distribute, monetize, and protect the Release, including defending against copyright strikes or claims on YouTube and other platforms.

• The license remains valid until properly terminated by takedown request and processed by DivineEpic Music.

12. Final Consent

By uploading and submitting any Release through the DivineEpic Music platform:

• The Licensor confirms acceptance of all terms in this Agreement.

• The Licensor authorizes DivineEpic Music to distribute, monetize, and manage each submitted Release.

• This Agreement becomes legally binding at the moment of digital submission.
